NOTICE CONVENING MEETING OF EQUITY SHAREHOLDERS OF THE APPLICANT/TRANSFEREE COMPANY

NOTICE is hereby given that by orders, dated the 5th day of December, 2007, and 2nd day of January, 2008, the Hon’ble Ministry of Corporate Affairs at New Delhi, has directed a meeting to be held of the Equity Shareholders of the Applicant/Transferee Company, for the purpose of considering and if thought fit, approving with or without modification(s), the proposed Scheme of Amalgamation between Bongaigaon Refinery & Petrochemicals Limited and Indian Oil Corporation Limited.
IN PURSUANCE of the said orders and as directed therein, further notice is hereby given that a meeting of the Equity Shareholders of the Applicant/Transferee Company will be held at Ravindra Natya Mandir, Sayani Road, Prabhadevi, Mumbai - 400025 on Friday, the 22nd day of February, 2008 at 10.30 A.M. at which time and place the Equity Shareholders are requested to attend.
Copies of the Scheme of Amalgamation, the Explanatory Statement under Section 393 of the Companies Act, 1956 can be had free of charge at the Registered Office of the Applicant/Transferee Company at Indian Oil Bhavan, G-9, Ali Yavar Jung Marg, Bandra (East) Mumbai - 400 051 or at the Office of M/s Amarchand & Mangaldas & Suresh A. Shroff & Co., Advocates of the Applicant/Transferee Company at Amarchand Towers, 216, Okhla Industrial Estate, Phase-III, New Delhi-110 020.
Persons entitled to attend and vote at the meeting, may vote in person or by proxy, provided that the proxy in the prescribed form is deposited at the Registered Office of the Applicant/Transferee Company at Indian Oil Bhavan, G-9, Ali Yavar Jung Marg, Bandra (East) Mumbai - 400 051, not later than 48 hours before the time of the meeting.
Forms of proxy can be had at the Registered Office of the Applicant/Transferee Company or at the Office of M/s Amarchand & Mangaldas & Suresh A. Shroff & Co., Advocates of the Applicant/Transferee Company at the addresses given above.
The Hon'ble Ministry of Corporate Affairs has appointed Mr. S. Behuria, Chairman of the Applicant/Transferee Company and in his absence, Mr.B.M. Bansal, Director (Planning & Business Development) of the Applicant/Transferee Company to be the Chairman of the said meeting. The Scheme of Amalgamation if approved by the meeting, will be subject to the subsequent approval of the Hon'ble Ministry of Corporate Affairs.
